IP and Commercial Rights Agreement for Kumodroid NFTs

Definitions

IP Property: Refers to the intellectual property associated with Kumodroid NFTs, including but not limited to artwork, designs, and any related materials.

Owner: Refers to the individual or entity that holds the rights to the IP Property.

Holder: Refers to the individual or entity that owns a Kumodroid NFT.

Ownership of IP Property
The Owner retains all rights, title, and interest in and to the IP Property associated with Kumodroid NFTs.

License to Holders
The Owner grants each Holder a non-exclusive, non-transferable license to use, display, and reproduce the IP Property solely for personal, non-commercial purposes.

Restrictions
Holders may not modify, create derivative works from, or exploit the IP Property for commercial purposes without prior written consent from the Owner.
Holders may not sublicense their rights to the IP Property to any third party.

Commercial Use
Holders interested in using the IP Property for commercial purposes must enter into a separate commercial agreement with the Owner.

Term and Termination
This agreement is effective upon acceptance by the Holder and shall remain in effect until terminated.
The Owner reserves the right to terminate this agreement and revoke the license granted to the Holder in the event of a breach of terms.

Governing Law
This agreement shall be governed by and construed in accordance with the laws of Malta.

Entire Agreement
This agreement constitutes the entire understanding between the parties regarding the IP Property and supersedes all prior agreements and understandings, whether written or oral.

Acceptance
Both parties acknowledge their acceptance of this agreement by their usage of this application. For the Owner, this includes minting, purchasing, trading, or transferring Kumodroid NFTs. For the Holder, this includes minting, purchasing, trading, or receiving Kumodroid NFTs.
